These Terms of Use ("Terms") govern access to and use of the Payout Partner platform and related services (the "Service").

("Operator", "we", "us")
"Payout Partner" refers to the invoicing and payment platform and brand operated by the Operator.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Purpose of the Service
Payout Partner is a digital platform for invoicing, payment processing, and payroll services. The Service enables freelancers and private individuals to invoice clients and receive payment — either as salary after tax (through our payroll service) or directly to their own company.
2. Who May Use the Service
The Service may be used by:
- Freelancers and private individuals who wish to invoice clients
- Companies (ENK, AS) that wish to use the invoicing software
- Businesses that wish to use the payroll outsourcing service for their freelancers
You must be at least 18 years old or have the legal capacity to enter into a binding agreement to use the Service.
3. Accounts and Access
You are responsible for safeguarding your login credentials and for all activity carried out under your account. You must notify us without undue delay if you suspect unauthorised access.
4. The Salary Service (Invoice Without a Company)
When you use the salary service, Payout Partner acts as the invoicing entity and employer. We:
- Issue invoices to your clients using our organisation number
- Collect payment from your clients
- Deduct employer's tax (AGA), income tax, and our administration fee (4.9%)
- Pay you the remaining amount as salary
- Report to the Norwegian Tax Administration on your behalf
You are responsible for providing accurate information about the work performed, the client, and the agreed compensation. Payout Partner is not responsible for the underlying assignment or business relationship between you and your client.
5. The Invoicing Software (Invoice With Your Own Company)
When you use the free invoicing software with your own company, you are solely responsible for the correctness of invoices, VAT registration and reporting, accounting, and tax compliance. Payout Partner provides the software tool but does not act as your employer, accountant, or tax advisor.
6. Fees
The salary service (invoice without a company) carries an administration fee of 4.9% of the invoice amount excluding VAT. The invoicing software is free. Payout Partner reserves the right to change fees with 30 days' written notice.
7. Acceptable Use
You agree to use the Service only for lawful purposes. You must not submit fraudulent invoices, provide false information, or use the Service in any way that violates applicable law.
8. Data Protection
Personal data is processed in accordance with applicable data protection law, including the GDPR. See our Privacy Policy for details.
9. Intellectual Property
All intellectual property rights in the Service belong to the Operator. You are granted a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.
10. Limitation of Liability
Payout Partner is provided "as is". The Operator is not liable for indirect or consequential loss. The Operator is not responsible for delays in payment caused by clients, banking systems, or third parties. Nothing in these Terms limits liability that cannot be excluded under Norwegian law.
11. Termination
Either party may terminate the agreement at any time. Upon termination, pending invoices and payments will be processed according to normal procedures. The Operator may suspend or restrict access if you breach these Terms.
12. Governing Law
These Terms are governed by Norwegian law. Any dispute shall be subject to the exclusive jurisdiction of Oslo District Court.
